Terms of Service
Effective September 1, 2026
These terms are an agreement between you and Sutro, Inc. Sutro is offered only for business use. By using Sutro, you agree to them. If you use it for a company, you represent that you have authority to bind that company.
Your account
Keep your login secure and tell us if you think someone else is using it. You’re responsible for activity in your workspace.
Your data
Your company owns its workspace content. You grant us a limited license to host, copy, and process it, including through our hosting and model providers, only to provide, support, and secure the service. You represent that you have the right to connect the tools you link and to process the content in them.
Agents can be wrong
Sutro’s agents can misread documents or make mistakes. You decide which steps require approval and which limits apply. You’re responsible for actions you approve and for rules that let actions run without approval. Review important results before relying on them.
Acceptable use
Don’t use Sutro to break the law, send spam, access systems you aren’t authorized to use, or interfere with the service.
Plans and billing
Paid plans renew for the same term until you cancel in the product or by emailing hello@usesutro.com. Fees are due in advance and are non-refundable except where the law requires. We’ll give you 30 days’ notice before a price change affects your plan.
Confidentiality
Each of us will protect the other’s confidential information and use it only for this agreement. This doesn’t restrict a disclosure the law requires, provided the disclosing party gives notice when legally allowed.
Our property
Sutro, including its software and design, belongs to us. Feedback you share may be used to improve the service.
Availability
We work to keep Sutro available, but we don’t promise it will be uninterrupted. We may change or discontinue features. If we discontinue a material feature of a paid plan, we’ll give account owners reasonable notice.
Disclaimer
The service is provided as is and as available, without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows.
Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data. Except for liability that can’t be limited by law, Sutro’s total liability is limited to the greater of $100 or the fees you paid in the 12 months before the claim.
Indemnity
You’ll indemnify Sutro against third-party claims arising from your workspace content, the tools you connect, your approval rules, or actions you approve.
Ending the agreement
You can cancel anytime in the product or by emailing hello@usesutro.com. Cancellation stops the next renewal. We can suspend or end access if you break these terms or if fees are unpaid. For 30 days after the agreement ends, you can export your workspace content and run logs.
Assignment
You may not assign these terms without our consent. We may assign them in a merger, acquisition, or sale of assets.
Governing law
California law governs these terms. Disputes go to the state or federal courts in San Francisco County.
Severability
If a part of these terms can’t be enforced, the rest still applies.
Changes
We’ll notify account owners by email at least 30 days before material changes take effect.
